These terms are the agreement between you and ORASCI LIMITED (company number 17264390) for your use of Flatspec at orasci.shop. Using the service means you accept them. If you do not, do not use it.
01What the service is
Flatspec is a software subscription. It turns a description of a garment, or measurements taken from one, into a specification document: a technical flat sketch, a measurement table in centimetres and inches with a tolerance and a stated measuring method on every row, construction and trim notes, and a list of the questions a factory is likely to ask that you have not answered yet.
This is a specification document, not a pattern and not a production order. It describes what you want. It does not guarantee that a factory can make it, that a sample will match, or what it will cost.
That paragraph appears on the front page of every export. It is the single most important thing in this agreement, and everything below is consistent with it.
02What the service is not
We want no ambiguity about the boundary, so it is written as a list:
- We do not sell, manufacture, sample, cut, sew, finish, inspect or ship any garment. Nothing here is a physical product.
- We do not source or buy fabric, trims or components on your behalf.
- We do not operate a factory directory, ratings, matching, introductions or request-for-quote forwarding, and we take no commission, referral fee or rebate from any manufacturer.
- We do not hold or transmit money on behalf of you or any supplier.
- We do not act as your pattern cutter, technical designer or garment technologist, and using this service does not remove the need for one.
- We do not certify anything, test anything, or confirm that a garment or a label complies with any law or standard.
03Your account
- You must be 13 or over. If you are 13 to 17, a parent or guardian must accept these terms for you and is responsible for your use.
- One account per person. Do not share credentials, resell access, or run the service on someone else’s behalf as a bureau without telling us.
- Keep your password to yourself. Tell us at support@orasci.shop if you think someone else has it.
- You are responsible for what happens under your account, including uploads made by colleagues you have given access to.
04What you have to do — measurement confirmation
This is an obligation, not a feature. Before a specification can be exported, each measurement row must have a diagram showing where it is taken, a tolerance, a written measuring method, and your explicit confirmation. Confirmation is done one row at a time and cannot be applied in bulk or skipped, on any plan, at any price.
The reason is that the number is the part everybody agrees on and the location is the part that goes wrong. By confirming a row you are saying that this is where you want that dimension measured. If you confirm a row without reading it, that is on you.
Values we derived rather than received are marked inferred throughout, including in the export. Do not treat an inferred value as something you measured.
05Subscriptions, renewal and cancellation
- There are three plans: Free, Draft, Studio. Prices and allowances are on the pricing page and are part of these terms.
- Every price is in USD. There is no other currency and no currency switcher.
- Paid plans are billed monthly or yearly in advance and renew automatically at the same price until you cancel. The yearly option is 20% below twelve monthly charges: Draft — USD 24 × 12 × 0.8 = USD 230.40, charged as USD 230; Studio — USD 89 × 12 × 0.8 = USD 854.40, charged as USD 854.
- Cancel at any time from account settings, without contacting us and without giving a reason. Cancelling stops the next renewal; access continues until the end of the period you have already paid for.
- Allowances belong to the period you paid for and do not carry over.
- There are no credit packs, no stored balance, no one-off purchases and no per-export charges. The 20% yearly discount is the only discount; there are no trials, coupons or limited-time offers.
- If we change prices we will tell registered users at least 30 days before the change applies to them, and you can cancel before it does.
- If payment fails we will retry and email you. If it keeps failing the plan reverts to Free — your styles are not deleted, but exporting and the paid features stop.
06Payment
Payments are taken by our payment provider, a PCI DSS Level 1 service provider. Card details are entered on a page they host; we never receive or store full card numbers. By subscribing you authorise recurring charges of the amount and frequency shown at checkout until you cancel. Your card issuer may add its own conversion or cross-border fees, which are outside our control.
07Refunds
Set out in full in the refund and cancellation policy, which forms part of these terms. In summary: yearly plans can be cancelled for a full refund within 14 days; after that, unused whole months are refunded; monthly plans run to the end of the period; and a failure on our side that stops you exporting is refunded in full.
08Intellectual property
- We own the service itself — the software, the interface, our brand and the underlying technology. Nothing here transfers any of that to you.
- You own what you put in and what comes out of it: your descriptions, uploads, measurements, and the specifications, sketches, diagrams and artwork generated for you. See the Content Licence for the exact scope of the limited licence you give us to run the service.
- We do not use your content to train models and we do not use it in our marketing.
- You are responsible for having the rights to everything you upload. We cannot and do not warrant that generated output is original or does not infringe someone else’s rights.
- If you believe something generated here infringes your rights, use the infringement report form. We take the material down first and investigate afterwards.
09Acceptable use
The Acceptable Use Policy forms part of these terms. In particular: do not use this service to copy someone else’s product, and do not upload artwork or designs you do not have the rights to.
10No warranty on output
The service is provided as is and as available. We do not warrant that measurements are correct for your garment, that grading suits your intended wearers, that a factory can make what you have specified, that a sample will match, or what any of it will cost. The AI Disclaimer sets this out in detail and forms part of these terms.
11Limitation of liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Your statutory rights as a consumer are not affected.
Subject to that, ORASCI LIMITED is not liable for indirect or consequential loss, loss of profit, loss of contracts, wasted production costs, sampling costs, or the cost of remaking goods. Our total liability in any twelve month period is limited to the amount you paid us in that period.
We are specifically not liable for what a factory does with a document produced here, including a sample or production run that does not match what you expected.
12Suspension and termination
We may suspend or close an account that breaches these terms or the Acceptable Use Policy, and we will say why unless the law prevents us. You can close your account at any time; we hard delete your content within 30 days, so export anything you want to keep first.
13Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer resident elsewhere, you keep the benefit of any mandatory protections of the law where you live.
